NexRev Hardware Warranty Terms

1.1 NexRev Freedom Product Warranty

NexRev warrants that the NexRev Freedom Product will materially conform to the Documentation for a period of two (2) years from delivery, unless otherwise specified in the applicable Documentation ("Freedom Hardware Warranty Period"). In the event of any material non-conformity in the Freedom Hardware during the Freedom Hardware Warranty Period that is reproducible and verifiable, NexRev will, in its sole discretion and at its own expense, repair or replace the Hardware, or refund the amounts received by NexRev for the non-conforming Hardware. Replacement parts will be warranted for the remainder of the Freedom Hardware Warranty Period in effect for the original Hardware purchased, unless otherwise mandated by applicable law.

1.2 NexRev Nexus® Product Warranties

1.2.1 NexRev Nexus® Card Warranty

NexRev warrants that the NexRev Nexus® Card will materially conform to the Documentation for a period of two (2) years from delivery ("Base NexRev Nexus® Card Warranty Period").

Extended Warranty: If Customer maintains an active card subscription for the NexRev Nexus® Card, the warranty period is automatically extended for the duration of such active subscription, up to a maximum of ten (10) years from the original delivery date ("Extended NexRev Nexus® Card Warranty Period"). The Extended NexRev Nexus® Card Warranty Period will terminate immediately and automatically upon Customer's cancellation, non-payment of subscription fees, or lapse of the NexRev Nexus® Card subscription.

Extended Warranty Reinstatement: If Customer cancels or allows their NexRev Nexus® Card subscription to lapse, Customer may reinstate the Extended NexRev Nexus® Card Warranty Period only by:

  • Reactivating the NexRev Nexus® Card subscription for the applicable NexRev Nexus® Card; AND
  • Paying all applicable unpaid NexRev Nexus® Card subscription fees for the entire period during which the subscription was inactive (the "Lapse Period").

Upon satisfaction of both conditions above, the Extended NexRev Nexus® Card Warranty Period will be reinstated effective as of the date of reactivation, provided that:

  • The total warranty period (including any Lapse Period) does not exceed ten (10) years from the original delivery date;
  • The NexRev Nexus® Card has not exceeded the Base NexRev Nexus® Card Warranty Period at the time of reinstatement request; and
  • Customer provides written notice to NexRev of their request to reinstate the Extended NexRev Nexus® Card Warranty Period within thirty (30) days of Customer’s reactivating the subscription

Limitation on Reinstatement: NexRev reserves the right, in its sole discretion, to deny Extended NexRev Nexus® Card Warranty Period reinstatement if:

  • The Lapse Period exceeded twelve (12) consecutive months;
  • The Customer had previously reinstated the Extended NexRev Nexus® Card Warranty Period for the same device; or
  • The device shows evidence of damage, misuse, or unauthorized modification during the Lapse Period.

In the event of any material non-conformity in the NexRev Nexus® Card during either the Base NexRev Nexus® Card Warranty Period or Extended NexRev Nexus® Card Warranty Period that is reproducible and verifiable, NexRev will, in its sole discretion and at its own expense, repair or replace the Hardware, or refund the amounts received by NexRev for the non-conforming Hardware. Replacement parts will be warranted for the remainder of the applicable warranty period in effect for the original Hardware purchased, unless otherwise mandated by applicable law.

1.2.2 NexRev Nexus® Wireless Sensor Warranty

NexRev warrants that NexRev Nexus® wireless sensors will materially conform to the Documentation for a period of ten (10) years from delivery ("Nexus Sensor Warranty Period"). In the event of any material non-conformity in the Nexus wireless sensors during the Nexus Sensor Warranty Period that is reproducible and verifiable, NexRev will, in its sole discretion and at its own expense, repair or replace the sensors, or refund the amounts received by NexRev for the non-conforming sensors. Replacement sensors will be warranted for the remainder of the Nexus Sensor Warranty Period in effect for the original sensors purchased, unless otherwise mandated by applicable law.

1.3 WARRANTY CONDITIONS AND LIMITATIONS - ALL WARRANTIES ARE SUBJECT TO THE FOLLOWING CONDITIONS:

1.3.1 Warranty Exclusions

These warranties do not cover:

  • Damage resulting from accident, disaster, misuse, abuse, negligence, or improper installation;
  • Normal wear and tear or cosmetic damage that does not affect functionality;
  • Damage caused by unauthorized modification, repair, or alteration of the Hardware;
  • Damage caused by use outside the environmental specifications set forth in the Documentation; or
  • Consumable parts (such as batteries) unless specifically covered in the Documentation.

1.3.2 Warranty Claims Process

To make a warranty claim, Customer must:

  • Provide written notice to NexRev within thirty (30) days of discovering the defect;
  • Provide proof of purchase and delivery date;
  • Allow NexRev reasonable opportunity to inspect the Hardware; and
  • Return the Hardware to NexRev if requested, with return shipping costs paid by NexRev for valid warranty claims.

1.3.3 Effect of Subscription Cancellation and Reinstatement on Extended Warranty

For NexRev Nexus® Cards, the following rules apply regarding subscription status and the Extended NexRev Nexus® Card Warranty Period :

If the subscription is cancelled or lapses on account of non-payment of subscription fees by Customer:

  • The Extended Warranty will terminate immediately and automatically;
  • The remaining portion, if any, of the original two (2) year Base NexRev Nexus® Card Warranty Period only will remain effective according to the terms for same; and
  • Thereafter, NexRev has no obligation to repair or replace any Hardware or otherwise honor any warranty claims that arise or are discovered after subscription cancelation or lapse of the subscription or termination of the duration of the warranty, even if the claim relates to a defect that existed during the extended warranty period

Warranty Reinstatement Process: Customer may request reinstatement of the Extended NexRev Nexus® Card Warranty Period by providing written notice to NexRev of Customer’s request to reinstate the subscription within thirty (30) days of subscription reactivation. The request must include:

  • Proof of subscription reactivation and payment of all upaid connectivity fees;
  • Current condition assessment of the NexRev Nexus® Card; and
  • Acknowledgment that reinstatement is subject to NexRev's approval.

Back Payment Calculation: Unpaid subscription fees shall be calculated as the monthly device subscription rate currently in effect during each month of the Lapse Period, without regard to any promotional pricing or discounts that may have been available during such period.

Reinstatement Limitations and Exclusions Applicable to the Extended Warranty:

  • Maximum of one (1) reinstatement per device during its lifetime;
  • Reinstatement not available if the Lapse Period exceeded twelve (12) months;
  • No warranty coverage for issues of non-conformity that arose or worsened during the Lapse Period;
  • NexRev may require device inspection prior to approving reinstatement; and
  • Reinstatement fees are non-refundable even if Extended Warranty application is denied.

1.4 Exclusive Warranty and Disclaimer

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, THE FOREGOING WARRANTIES AND REMEDIES SET FORTH IN THIS SECTION ARE CUSTOMER'S SOLE AND EXCLUSIVE WARRANTIES AND REMEDIES. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THESE HARDWARE TERMS, NEXREV MAKES NO OTHER WARRANTIES AND SPECIFICALLY DISCLAIMS AND EXCLUDES ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NEXREV DOES NOT WARRANT THAT THE HARDWARE WILL OPERATE UNINTERRUPTED OR ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED. CUSTOMER'S SOLE REMEDY FOR WARRANTY CLAIMS IS REPAIR, REPLACEMENT, OR REFUND AS SET FORTH ABOVE.

1.5 Limited Support During Warranty Periods

During the applicable warranty periods set forth above (as well as any extended hardware warranty periods that are available and purchased by Customer), NexRev will support the applicable Hardware in accordance with the service description set forth in NexRev's then-current support policies. Support services may include:

  • Technical assistance for installation and configuration issues
  • Troubleshooting guidance for Hardware-related problems
  • Firmware updates and patches when available
  • Replacement part coordination for warranty-covered defects

1.6 Limitation of Warranty Remedies

IN NO EVENT SHALL NEXREV'S TOTAL, CUMULATIVE LIABILITY FOR WARRANTY CLAIMS EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SPECIFIC HARDWARE THAT IS THE SUBJECT OF THE WARRANTY CLAIM. NEXREV SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR INDIRECT DAMAGES ARISING FROM OR RELATED TO ANY WARRANTY CLAIMS OR ALLEGATIONS OF ANY BREACH OF WARRANTY, INCLUDING BUT NOT LIMITED TO LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

1.7 Transfer of Warranty

HARDWARE WARRANTIES ARE NON-TRANSFERABLE AND APPLY ONLY TO THE ORIGINAL CUSTOMER WHO PURCHASED THE HARDWARE DIRECTLY FROM NEXREV OR FROM AN AUTHORIZED NEXREV RESELLER. WARRANTIES DO NOT TRANSFER WITH THE SALE, LEASE, OR OTHER TRANSFER OF HARDWARE TO THIRD PARTIES.

1.8 Return Shipping and Packaging Requirements

(a) Customer Responsibility for Return Shipping. Customer will be responsible for all shipping costs when returning Products to NexRev for warranty claims, whether for evaluation or for repair or replacement. Customer must comply with the following standards and procedures when returning Products to NexRev:

  • Use a reputable carrier that provides tracking and delivery confirmation.
  • Properly package Products in conformity with the packaging standards set forth in clause (b) below and by using appropriate protective materials to prevent damage during transit.
  • Obtain and retain proof of shipment and tracking information.
  • Include the RMA (Return Merchandise Authorization) number, if provided by NexRev, on the exterior of the package; and
  • Ship Products to the address specified by NexRev.

(b) Packaging Standards. Customer will ensure that returned Products are packaged in a manner that protects against damage during shipment. Failure to properly package Products may void warranty coverage for any additional damage incurred during return shipment.

(c) Insurance Recommended. While not required, NexRev recommends that Customer obtain shipping insurance for returned Products. Customer assumes all risk of loss or damage to Products during return shipment.

(d) NexRev Responsibility for Replacement Shipping. For Products covered under warranty, NexRev will bear all shipping costs for sending replacement Products or repaired Products back to Customer using NexRev's standard shipping method.
