1. Acceptance of terms
Welcome to NexRev LLC ("NexRev," "we," "us," or "our"). These Website Terms of Use (these "Terms") govern your access to and use of:
- The NexRev website located at www.nexrev.com and all subdomains (collectively, the "Website")
- The NexRev Customer Portal and online account management interface (the "Customer Portal")
- Web-based applications, dashboards, and analytics platforms accessible through the Website (the "Web Applications")
- Any other online services provided through the Website
Collectively, these are referred to as the "Web Services."
BY ACCESSING OR USING THE WEB SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Web Services.
These Terms constitute a legally binding agreement between you and NexRev. If you are accessing or using the Web Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
2. Relationship to other agreements
2.1 Additional Terms
Your use of the Web Services may also be subject to additional terms and conditions, including but not limited to:
- NexRev General Terms and Conditions - Governs purchase of products and services, including applicable Supplemental Terms for software licensing (Nexus Subscription Agreement, Freedom Software License Agreement) and hardware
- NexRev Privacy Policy - Governs collection and use of your personal information
- NexRev Freedom Mobile App Terms and Conditions - Governs use of mobile applications
- NexRev Hardware Warranty Terms - Governs warranty coverage for NexRev hardware products
All such additional terms are incorporated herein by reference. In the event of a conflict between these Website Terms of Use and other agreements, the order of precedence is:
- Supplemental Terms within the General Terms and Conditions (e.g., Nexus Subscription Agreement, Freedom Software License Agreement, Terms and Conditions of Sale of Hardware) and the NexRev Hardware Warranty Terms
- General Terms and Conditions
- These Website Terms of Use
2.2 Modifications to Terms
NexRev reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of these Terms. We may also notify you of material changes via email, through a notice on the Website, or by other reasonable means.
Your continued use of the Web Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Web Services.
3. Eligibility and account requirements
3.1 Age Requirements
You must be at least 18 years of age to create an account or use the Web Services. If you are under 18 years of age, you may only use the Web Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
By using the Web Services, you represent and warrant that:
- You are at least 18 years of age, or are using the Web Services under appropriate adult supervision
- You have the legal capacity to enter into a binding agreement
- All information you provide is accurate, current, and complete
3.2 Account Registration
To access certain features of the Web Services, including the Customer Portal and Web Applications, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information to keep it accurate and current
- Maintain the security and confidentiality of your account credentials (username and password)
- Immediately notify NexRev of any unauthorized use of your account or any other security breach
- Accept responsibility for all activities that occur under your account
You may not:
- Share your account credentials with others
- Allow others to access your account
- Create an account using false or misleading information
- Create multiple accounts for the same individual or entity
- Create an account for anyone other than yourself without their express permission
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. NexRev will not be liable for any loss or damage arising from your failure to maintain account security.
If you believe your account has been compromised, you must immediately:

NexRev reserves the right to require you to change your password if we believe your account security has been compromised.
3.4 Authorized Users
If you create an account on behalf of an organization, you may authorize additional users within your organization to access your account ("Authorized Users"). You are fully responsible for:
- The actions of all Authorized Users
- Ensuring all Authorized Users comply with these Terms
- Managing Authorized Users' access and permissions
- Revoking access when appropriate
4. License to use web services
4.1 Limited License Grant
Subject to your compliance with these Terms, NexRev grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Web Services solely for your personal or internal business purposes in connection with NexRev products and services.
This license does not include any right to:
- Resell or make commercial use of the Web Services or their content
- Download, copy, or reproduce any portion of the Web Services (except as expressly permitted)
- Make derivative works based on the Web Services
- Use any data mining, robots, scraping, or similar data gathering tools
- Frame or mirror any portion of the Web Services
4.2 Restrictions on Use
You agree not to:

- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Web Services
- Bypass, disable, or interfere with security-related features of the Web Services
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use any automated means to access the Web Services without our express written permission
- Probe, scan, or test the vulnerability of the Web Services or breach security or authentication measures
Content and Conduct Restrictions:
- Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
- Upload, post, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
- Upload, post, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, or any other form of solicitation
- Upload, post, transmit, or otherwise make available any material that contains software viruses, malware, spyware, or any other malicious code
Usage Restrictions:
- Use the Web Services in any manner that could disable, overburden, damage, or impair the Web Services or interfere with any other party's use
- Attempt to gain unauthorized access to any portion of the Web Services, other accounts, computer systems, or networks connected to the Web Services
- Use the Web Services for any illegal purpose or in violation of any local, state, national, or international law
- Use the Web Services to transmit any material that could constitute or encourage conduct that would be considered a criminal offense or give rise to civil liability
- Use the Web Services in any way that violates the rights of others, including intellectual property rights, privacy rights, or contractual rights
4.3 Monitoring and Enforcement
NexRev reserves the right, but has no obligation, to:
- Monitor use of the Web Services for compliance with these Terms
- Investigate violations of these Terms
- Remove or disable access to any content that violates these Terms
- Report suspected illegal activity to law enforcement authorities
- Cooperate with law enforcement investigations
5. Intellectual property rights
5.1 NexRev Ownership
The Web Services and all content, features, and functionality available through the Web Services, including but not limited to text, graphics, logos, images, audio, video, software, data compilations, and the design, selection, and arrangement thereof (collectively, the "Content"), are owned by NexRev or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You acknowledge and agree that the Web Services and Content are proprietary to NexRev and are protected by applicable intellectual property and other laws. Except for the limited license granted in Section 4.1, no right, title, or interest in or to the Web Services or Content is transferred to you.
5.2 Trademarks
"NexRev," "NexRev Freedom," "NexRev Nexus," and all related logos, product and service names, designs, and slogans are trademarks of NexRev LLC. You may not use these trademarks without our prior written permission. All other trademarks, service marks, and trade names referenced on the Web Services are the property of their respective owners.
5.3 Feedback
If you provide NexRev with any comments, suggestions, ideas, or other feedback relating to the Web Services or any NexRev products or services ("Feedback"), you grant NexRev a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any media and for any purpose, including incorporation into the Web Services or other NexRev products or services.
You represent and warrant that:
- You own all rights to the Feedback
- The Feedback does not infringe the rights of any third party
- You have the authority to grant the rights described above
6. User content
6.1 User-Generated Content
Certain features of the Web Services may allow you to submit, post, upload, or otherwise make available content, including but not limited to comments, suggestions, building data, usage reports, configurations, and other materials ("User Content").
You retain ownership of your User Content. However, by submitting User Content to the Web Services, you grant NexRev a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Web Services and for NexRev's business purposes, including analytics, research and development, and service improvement.
6.2 Responsibility for User Content
You are solely responsible for your User Content. You represent and warrant that:
- You own or have the necessary rights to submit the User Content
- Your User Content does not infringe or violate the rights of any third party
- Your User Content complies with these Terms and all applicable laws
NexRev does not pre-screen User Content. However, NexRev reserves the right (but has no obligation) to:
- Review, monitor, and moderate User Content
- Remove or refuse to display User Content that violates these Terms
- Suspend or terminate accounts that violate these Terms, with or without notice, automatically and immediately
6.3 Data You Provide
Any data you provide through the Web Services, including building information, energy usage data, system configurations, and other operational data, will be handled in accordance with our Privacy Policy and any applicable Data Processing Agreement or similar data protection terms.
NexRev may use aggregated, anonymized, or de-identified data derived from your use of the Web Services for analytics, research, product development, and other business purposes, provided such data cannot reasonably be used to identify you.
7. Third-party services and links
7.1 Third-Party Links
The Web Services may contain links to third-party websites, applications, or services that are not owned or controlled by NexRev. NexRev has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that NexRev is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods, or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
7.2 Third-Party Integrations
The Web Services may integrate with or provide access to third-party platforms, services, or APIs (e.g., utility company portals, weather services, smart building systems). Your use of such third-party integrations may be subject to separate terms and conditions and privacy policies of those third parties.
NexRev does not endorse, warrant, or assume any responsibility for any third-party integrations. You use third-party integrations at your own risk.
8. Privacy and data protection
8.1 Privacy Policy
Your use of the Web Services is subject to NexRev's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how NexRev collects, uses, discloses, and protects information obtained through the Web Services.
By using the Web Services, you consent to the collection and use of information as described in the Privacy Policy.
8.2 Cookies and Tracking Technologies
The Web Services use cookies and similar tracking technologies to enhance your experience, analyze usage, and provide personalized content. For more information about our use of cookies and your choices, please see our Privacy Policy.
8.3 Communication Preferences
By creating an account, you consent to receive electronic communications from NexRev, including:
- Transactional emails (account notifications, password resets, billing confirmations)
- Service-related emails (system updates, maintenance notices, security alerts)
- Marketing emails (product updates, newsletters, promotional offers)
You may opt out of marketing emails by clicking "unsubscribe" in any marketing email or by updating your communication preferences in your account settings. You cannot opt out of transactional or service-related emails that are necessary for the operation of your account and the Web Services.
9. Prohibited uses
In addition to the restrictions set forth elsewhere in these Terms, you agree not to use the Web Services as follows:
9.1 Illegal Activities
- For any unlawful purpose or in violation of any applicable laws or regulations
- To engage in, promote, or facilitate illegal activity
- To violate any export control laws or regulations
9.2 Harm to Others
- To harm, threaten, harass, or intimidate any person
- To impersonate any person or entity
- To violate the privacy rights of others
- To stalk, harass, or harm another individual
9.3 System Interference
- To introduce viruses, malware, or other malicious code
- To interfere with, disrupt, or create an undue burden on the Web Services or networks connected to the Web Services
- To attempt to gain unauthorized access to any portion of the Web Services or any other systems or networks connected to the Web Services
9.4 Competitive Uses
- To monitor the availability, performance, or functionality of the Web Services for competitive purposes
- To build a competitive product or service
- To copy, reproduce, or reverse engineer any aspect of the Web Services
9.5 Misuse of Customer Portal
- To access data or areas of the Customer Portal that you are not authorized to access
- To share access credentials with unauthorized parties
- To use automated scripts or bots to interact with the Customer Portal
10. Disclaimers and warranties
10.1 "AS IS" and "AS AVAILABLE" Basis
THE WEB SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXREV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
- IMPLIED WARRANTIES OF NON-INFRINGEMENT
- IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
10.2 No Warranty of Availability
NEXREV DOES NOT WARRANT THAT:
- The Web Services will be uninterrupted, timely, secure, or error-free
- The results obtained from the use of the Web Services will be accurate or reliable
- The quality of any products, services, information, or other material obtained through the Web Services will meet your expectations
- Any errors in the Web Services will be corrected
10.3 Internet and Technology Risks
You acknowledge and agree that:
- The Internet and web-based services are inherently subject to interruptions, delays, and other issues beyond NexRev's control
- NexRev is not responsible for any delays, delivery failures, or other damages resulting from such problems
- Use of the Web Services involves risks, including but not limited to the risk of unauthorized access to your data
10.4 No Professional Advice
THE WEB SERVICES ARE NOT INTENDED TO PROVIDE, AND SHOULD NOT BE RELIED UPON FOR, PROFESSIONAL ADVICE OF ANY KIND. Information provided through the Web Services, including energy usage data, analytics, recommendations, and reports, is for informational purposes only.
NexRev is not responsible for any decisions you make based on information provided through the Web Services.
10.5 Third-Party Content
NEXREV MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY THIRD-PARTY CONTENT, SERVICES, OR LINKS ACCESSIBLE THROUGH THE WEB SERVICES.
11. Limitation of liability
11.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NEXREV OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUES, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR DATA CORRUPTION
- LOSS OF USE OR INABILITY TO USE THE WEB SERVICES
- BUSINESS INTERRUPTION
- DAMAGE TO OR LOSS OF PROPERTY
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NEXREV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Liability Cap
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXREV'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEB SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE LESSER OF:
- US $100.00; OR
- THE AMOUNT YOU PAID TO NEXREV FOR PRODUCTS OR SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY
11.3 Exceptions
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS AND DISCLAIMERS MAY NOT APPLY TO YOU. TO THE EXTENT NEXREV MAY NOT, AS A MATTER OF APPLICABLE LAW, DISCLAIM ANY WARRANTY OR LIMIT ITS LIABILITIES, THE SCOPE AND DURATION OF SUCH WARRANTY AND THE EXTENT OF NEXREV'S LIABILITY WILL BE THE MINIMUM PERMITTED UNDER SUCH APPLICABLE LAW.
11.4 Basis of the Bargain
You acknowledge and agree that NexRev has offered the Web Services, set its prices, and entered into these Terms in reliance upon the disclaimers of warranty and limitations of liability set forth herein, that the disclaimers of warranty and limitations of liability set forth herein reflect a reasonable and fair allocation of risk between you and NexRev, and that the disclaimers of warranty and limitations of liability set forth herein form an essential basis of the bargain between you and NexRev.
12. Indemnification
You agree to indemnify, defend, and hold harmless NexRev and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys' fees) arising from or relating to:
- Your use or misuse of the Web Services
- Your breach of these Terms
- Your violation of any law or regulation
- Your violation of the rights of any third party, including intellectual property rights, privacy rights, or property rights
- Any User Content you submit or make available through the Web Services
- Any Authorized User's access to or use of the Web Services
NexRev reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with NexRev in asserting any available defenses.
This indemnification obligation will survive the termination or expiration of these Terms and your use of the Web Services.
13. Termination and suspension
13.1 Termination by You
You may terminate your account at any time by:

Upon termination, your right to access and use the Web Services will immediately cease.
13.2 Termination or Suspension by NexRev
NexRev may, in its sole discretion and without prior notice, immediately suspend or terminate your access to all or any part of the Web Services if:
- You breach any provision of these Terms
- You engage in conduct that NexRev believes is harmful to other users, NexRev, or third parties
- You engage in fraudulent or illegal activities
- NexRev is required to do so by law or legal process
- NexRev decides to discontinue the Web Services or any portion thereof
- You fail to pay any fees owed to NexRev
- Your account has been inactive for an extended period
13.3 Effect of Termination
Upon termination of your account or access to the Web Services:
- All licenses and rights granted to you under these Terms will immediately terminate
- You must immediately cease all use of the Web Services
- You will no longer have access to any data, content, or information associated with your account
- NexRev is not obligated to retain, return, or provide you with any data or User Content
- Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 5 (Intellectual Property Rights), 6.1 (User Content license grant), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution), and 16 (General Provisions)
13.4 No Liability for Termination
NexRev will not be liable to you or any third party for any termination or suspension of your access to the Web Services.
14. Dispute resolution
14.1 Informal Resolution
Before filing any formal legal action, you agree to first contact NexRev and attempt to resolve any dispute informally by sending written notice to:

- Your name and contact information
- A description of the dispute
- The relief you seek
NexRev will attempt to resolve the dispute informally by contacting you via email. If the dispute is not resolved within 45 days of NexRev's receipt of your notice, you or NexRev may initiate formal dispute resolution proceedings as set forth below.
14.2 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Web Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
14.3 Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.
Except as provided in Section 14.4 below, you and NexRev agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Web Services, including the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes"), will be resolved by binding arbitration on an individual basis, rather than in court.
By agreeing to these Terms, you are waiving your right to a trial by jury and your right to participate in a class action lawsuit or class-wide arbitration.
14.3.1 Arbitration Procedures
The arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association ("AAA") in accordance with the AAA Commercial Arbitration Rules and, where appropriate, the AAA Consumer Arbitration Rules (collectively, the "AAA Rules"), as modified by these Terms.
The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.
The arbitration will be conducted in Collin County, Texas, unless you and NexRev agree otherwise. If you are using the Web Services for personal, family, or household purposes and your claim is for less than $10,000, you may choose whether the arbitration will be conducted:
- Solely on the basis of documents submitted to the arbitrator
- Through a telephonic or video conference hearing
- By an in-person hearing as established by the AAA Rules
14.3.2 Arbitration Costs
Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, unless otherwise stated in these Terms. If the value of the relief sought is $10,000 or less, at your request, NexRev will pay all filing, administration, and arbitrator fees associated with the arbitration. For claims exceeding $10,000, fees will be determined by the AAA Rules.
14.3.3 Class Action Waiver
YOU AND NEXREV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Unless both you and NexRev agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
If this specific provision is found to be unenforceable, then the entirety of this arbitration provision (Section 14.3) shall be null and void, and the Dispute must be brought in court as set forth in Section 14.5.
14.3.4 Arbitration Award
The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
The arbitrator's decision will be final and binding, except for any right of appeal provided by the Federal Arbitration Act. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
14.4 Exceptions to Arbitration
Notwithstanding Section 14.3, either you or NexRev may bring an individual action in small claims court if the claim is within that court's jurisdiction and proceeds on an individual (non-class) basis.
Additionally, either party may seek equitable relief in court for infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, or patents). This exception does not authorize class or representative proceedings in court.
14.5 Venue for Court Proceedings
If the arbitration agreement in Section 14.3 is found to be unenforceable, or if a Dispute falls under one of the exceptions in Section 14.4, you agree that any judicial proceeding will be brought exclusively in the state or federal courts located in Collin County, Texas, and you consent to personal jurisdiction in those courts.
14.6 Time Limitation on Claims
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these Terms or the Web Services must be filed within one (1) year after the claim or cause of action arose, or it will be forever barred.
15. Changes to web services
NexRev reserves the right to:
- Modify, suspend, or discontinue the Web Services (or any portion thereof) at any time, with or without notice
- Add, remove, or change features or functionality of the Web Services
- Impose limits on certain features or restrict access to parts of the Web Services
NexRev will make reasonable efforts to notify users of material changes to the Web Services but is not obligated to do so.
NexRev will not be liable to you or any third party for any modification, suspension, or discontinuance of the Web Services.
16. General provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and NexRev regarding the Web Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Web Services.
16.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid, illegal, or unenforceable provision will be deemed modified to the extent necessary to render it valid, legal, and enforceable while preserving its intent to the maximum extent possible.
16.3 Waiver
No waiver of any provision of these Terms will be deemed or shall constitute a waiver of any other provision, nor will any waiver constitute a continuing waiver unless otherwise expressly provided. NexRev's failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights or obligations hereunder without NexRev's prior written consent. Any attempted assignment in violation of this provision will be void.
NexRev may assign, transfer, or delegate these Terms or its rights or obligations hereunder without restriction, including to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.
These Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
16.5 No Third-Party Beneficiaries
These Terms do not and are not intended to confer any rights or remedies upon any person or entity other than you and NexRev.
16.6 Force Majeure
NexRev will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to:
- Acts of God, natural disasters, or extreme weather
- War, terrorism, riots, or civil unrest
- Epidemics or pandemics
- Government actions or regulations
- Internet or telecommunications failures
- Failures of third-party services or providers
- Labor disputes or strikes
- Fires, floods, or explosions
16.7 Notices
Notices to you may be made via email, regular mail, or postings on the Web Services. NexRev may also provide notices by push notification or other reasonable means.

Notices will be deemed given:
- 24 hours after email is sent (unless NexRev receives notice that the email was not delivered)
- 5 business days after mailing via first class mail
- Upon posting to the Web Services
16.8 Electronic Communications
By using the Web Services, you consent to receive communications from NexRev electronically. You agree that all agreements, notices, disclosures, and other communications that NexRev provides to you electronically satisfy any legal requirement that such communications be in writing.
16.9 Interpretation
The headings and captions in these Terms are for convenience only and will not affect their interpretation. Unless the context requires otherwise, words in the singular include the plural and vice versa. The word "including" means "including without limitation."
16.10 Export Control
The Web Services may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not:
- Located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country
- Listed on any U.S. government list of prohibited or restricted parties
16.11 Government Users
If you are a U.S. government entity, the Web Services are "commercial items" as defined in 48 C.F.R. 2.101, consisting of "commercial computer software" and "commercial computer software documentation." Use, reproduction, release, modification, disclosure, or transfer of the Web Services is governed solely by these Terms, consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202.
